Terms of Service

These terms govern your purchase and use of products sold by Nyansa Studio through this website. By buying or downloading anything here, you agree to them.

1Who we are

This website and the products sold on it are operated by Nyansa Studio, registered in Ghana (XXXXXXXXXXXX), trading at Accra, Ghana. In these terms, “we”, “us” and “our” mean that entity. “You” means the person or company making the purchase.

2What we sell

We sell perpetual, one-time licences to the source code of complete web applications, together with their documentation. We do not sell a hosted service, and we do not operate any application on your behalf. What you receive is a source archive that you host, configure and run yourself.

Product descriptions on this site, including the list of what is deliberately not included, form part of these terms. Read them before buying.

3Payment and merchant of record

Payments are processed by Polar, which acts as merchant of record for the sale. Polar handles the transaction, issues your receipt and is responsible for collecting and remitting any applicable sales tax or VAT. Your payment card details are handled by Polar and its payment processors and are never seen or stored by us.

Polar's own terms apply to the payment transaction alongside these terms. Where the two conflict on a matter of payment, tax or chargebacks, Polar's terms govern that matter.

4Delivery

Delivery is digital and automatic. On successful payment you receive access to a downloadable source archive and, where applicable, a licence key, at the email address you gave at checkout. Delivery is normally immediate.

If you have not received access within a few minutes, check your spam folder and then email us. We will resend it.

5Your licence

What you may and may not do with the code is set out in full in the licence document included in the package, and summarised on the product page. In short: you may build and sell applications with the code; you may not sell, publish or give away the code itself, including as a template or starter kit of your own.

The licence tier you bought is named on your receipt. That receipt, together with the licence document, is your proof of licence — keep it.

6Refunds

Our refund position is set out in the Refund Policy, which forms part of these terms. In summary: because source code cannot be returned once downloaded, sales are final, but we will consider a refund within 14 days where the product is materially not as described.

7Acceptable use

You agree not to:

  • Share, resell, sublicense or publish the source code in breach of your licence.
  • Use the code to build anything unlawful, or anything that infringes another party's rights.
  • Attempt to obtain the product without paying, or to circumvent licence key checks.
  • Charge back a payment as a substitute for requesting a refund.

We may terminate your licence, without refund, if you breach this section.

8Intellectual property

We retain all copyright and intellectual property in the products we sell. Buying a licence grants you the right to use the code as described; it does not transfer ownership.

You own everything you write yourself, and you own your own applications, your data and your customer relationships entirely. We claim no interest in what you build.

The products depend on third-party open-source packages, each under its own licence, and integrate with third-party services governed by their own terms. Those licences and terms are unaffected by this agreement and remain your responsibility to observe.

9Support and updates

Each purchase includes the product as delivered, its documentation, and bug-fix updates released within 12 months of purchase. It does not include installation, deployment, configuration, customisation, debugging of your own modifications, or support for third-party services. Those are available as separately priced services.

We do not promise an update schedule, and no update is required for your licence to keep working.

10No warranty

The products are provided “as is”, without warranty of any kind, express or implied, including the warranties of merchantability, fitness for a particular purpose and non-infringement.

Our products are tested, typechecked and reviewed, and a security review is included in the package — but they are not certified, audited or warranted to be secure, error-free, or compliant with any regulation. You are responsible for testing what you deploy, securing it, rotating credentials, and meeting the legal and regulatory obligations that apply to your application and your users' data.

11Limitation of liability

To the fullest extent permitted by law, we are not liable for any lost profits, lost data, business interruption, or security incidents arising from the products or their use, whether in contract, tort or otherwise.

Our total liability under this agreement will not exceed the amount you actually paid us. Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.

12Changes to these terms

We may update these terms. The version in force for your purchase is the one published on the date you bought, and the version date is shown at the top of this page. Changes are not retroactive.

13Governing law

These terms are governed by the laws of Ghana, and the courts of Ghana have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights you have where you live.
